Terms of Service

Welcome to Leadli. These Terms of Service ("Terms") govern your access to and use of Leadli's automated lead follow-up and customer relationship management (CRM) services. By using our services, you agree to be bound by these Terms.

Important: Please read these Terms carefully before using our services. If you do not agree with these Terms, you may not use our services.

1. Acceptance of Terms

By registering for, accessing, or using Leadli's services, you agree to:

  • Comply with these Terms of Service
  • Abide by our Privacy Policy
  • Follow all applicable laws and regulations

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Leadli ("we," "us," or "our").

2. Service Description

Leadli provides automated lead management and customer communication services, including:

  • Instant Lead Response: Automated text message responses to incoming leads
  • Multi-Channel Follow-Up: Email and SMS nurture sequences
  • Missed Call Text-Back: Automatic SMS responses to missed calls
  • Appointment Reminders: Automated reminders for scheduled appointments
  • Review Requests: Post-job review request automation
  • CRM Setup and Management: Configuration and ongoing management of your Leadli CRM account

3. Pricing and Payment

Service Fees

Our pricing structure consists of:

  • One-Time Setup Fee: $1,497 (due upon service agreement execution)
  • Monthly Management Fee: $747/month (billed monthly on your signup anniversary date)

Payment Terms

  • All fees are in U.S. Dollars (USD)
  • The setup fee is non-refundable after 30 days (see Guarantee section below)
  • Monthly fees are charged in advance and are non-refundable
  • Payments are processed via credit card or ACH through our payment processor
  • You authorize us to charge your payment method for all applicable fees

Late Payments

If payment is not received within 5 days of the due date:

  • Your account may be suspended until payment is received
  • Automated campaigns and follow-up sequences will be paused
  • We reserve the right to charge a late fee of $50 or 5% of the outstanding balance (whichever is greater)

Price Changes

We reserve the right to modify our pricing with 30 days' written notice. You will have the option to cancel your service before the new pricing takes effect.

4. 30-Day Results Guarantee

We Stand Behind Our Results: If within the first 30 days of service activation you are not:

  • Saving at least 5 hours per week on lead follow-up tasks, AND
  • Seeing measurable improvement in lead response times and conversion rates

...we will refund your $1,497 setup fee in full.

Guarantee Conditions

To qualify for the guarantee refund, you must:

  • Actively use the system and follow our implementation recommendations
  • Provide us with at least 2 opportunities to optimize and troubleshoot your setup
  • Submit your refund request in writing within 30 days of service activation
  • Provide specific feedback on why the system did not meet expectations

Note: Monthly management fees are non-refundable and not covered by this guarantee.

5. Service Term and Cancellation

Service Term

  • Services begin upon completion of your CRM setup (typically 7-10 business days after payment)
  • Monthly management services continue on a month-to-month basis
  • There is no long-term contract or commitment required

Cancellation by Client

You may cancel monthly management services at any time by:

  • Providing written notice to support@leadli.io
  • Giving at least 15 days' notice before your next billing date

Upon cancellation:

  • You will retain access to your CRM account until the end of your current billing period
  • Automated campaigns and follow-up sequences will be paused
  • You are responsible for exporting your data before the end of your billing period
  • No refunds will be issued for partial months of service

Cancellation by Leadli

We reserve the right to suspend or terminate your account if:

  • You violate these Terms of Service
  • You use our services for illegal or fraudulent activities
  • Your payment method fails or you fail to pay outstanding fees
  • You violate SMS/email compliance laws (TCPA, CAN-SPAM, etc.)

6. Client Responsibilities

Compliance with Laws

You are responsible for ensuring that your use of our services complies with all applicable laws, including but not limited to:

  • TCPA (Telephone Consumer Protection Act): You must obtain proper consent before sending SMS messages to customers
  • CAN-SPAM Act: All emails must include accurate sender information and opt-out mechanisms
  • GDPR and CCPA: You must comply with data protection laws applicable to your business
  • State and Local Regulations: You are responsible for compliance with industry-specific regulations

Opt-Out Management

You agree to:

  • Honor all opt-out requests immediately
  • Maintain accurate opt-out lists
  • Not re-engage contacts who have opted out without explicit new consent

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

Data Accuracy

You are responsible for:

  • Ensuring the accuracy of customer data entered into the CRM
  • Updating contact information as needed
  • Backing up your data regularly (though we maintain redundant backups, you should maintain your own copies)

7. Intellectual Property

Leadli's Intellectual Property

All rights, title, and interest in Leadli's services, including but not limited to:

  • Software, technology, and automation workflows
  • Branding, logos, and trademarks
  • Templates, documentation, and training materials

...remain the exclusive property of Leadli. You receive a limited, non-exclusive, non-transferable license to use our services for your business purposes only.

Your Content

You retain all rights to your customer data, messaging content, and business information. By using our services, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing our services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Leadli is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption
  • Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total amount you paid to Leadli in the 12 months preceding the claim
  • We do not guarantee specific results, conversion rates, or revenue increases from using our services

Service Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. We are not liable for:

  • Third-party service outages (SMS carriers, email providers, CRM platform)
  • Internet connectivity issues
  • Scheduled maintenance or emergency repairs

9. Indemnification

You agree to indemnify, defend, and hold harmless Leadli and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your infringement of any third-party rights
  • Content you send via our platform (SMS messages, emails, etc.)

10. Prohibited Uses

You agree not to use our services to:

  • Send spam, unsolicited messages, or messages to contacts who have not consented
  • Transmit illegal, fraudulent, defamatory, obscene, or offensive content
  • Impersonate any person or entity or falsely represent your affiliation
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use our services for any illegal purpose or in violation of any laws
  • Resell or redistribute our services without written authorization

11. Data Ownership and Portability

Your Data

You own all data you input into the CRM, including:

  • Customer contact information
  • Communication history
  • Custom fields and notes

Data Export

You may export your data at any time via the CRM's export functionality. We recommend regular backups of your critical data.

Data Retention After Cancellation

After cancellation:

  • You have 30 days to export all data from your account
  • After 30 days, we will permanently delete your account data
  • We may retain anonymized analytics data for service improvement purposes

12. Third-Party Services

Our services integrate with third-party platforms, including:

  • CRM platforms (GoHighLevel)
  • SMS providers
  • Email delivery services
  • Payment processors

Your use of these third-party services may be subject to their own terms and conditions. We are not responsible for the actions, policies, or performance of third-party services.

13. Modifications to Terms

We may update these Terms from time to time. When we make material changes:

  • We will notify you via email at least 30 days before the changes take effect
  • The updated Terms will be posted on this page with a new "Last Updated" date
  • Your continued use of our services after the effective date constitutes acceptance of the new Terms
  • If you do not agree to the new Terms, you may cancel your service

14. Dispute Resolution

Informal Resolution

Before pursuing any formal dispute resolution, you agree to contact us at support@leadli.io to attempt to resolve the issue informally.

Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Austin, Texas, and shall be conducted in English.

Class Action Waiver

You agree to resolve disputes with Leadli on an individual basis and waive your right to participate in class action lawsuits or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leadli regarding the use of our services and supersede all prior agreements and understandings.
